Terms and Conditions of Use
TransX is a UK based Internet reseller trading through the internet under the recognised registered trade name TransX Ltd.
1. The Service Offered by TransX Ltd
1.1 TransX is an online internet reseller. When a consumer goes to purchase a product from an online shop that is affiliated with TransX, they will be taken to a TransX secure payment page that will process this transaction. Once all of the payment details have been entered the buyer will then return to the affiliated website where they can complete the sale. TransX purchases the product or services from the supplier and immediately re-sells this onto the consumer who purchased the product.
1.2 The service will only be available to suppliers who sign up and agree to the terms and conditions of use.
1.3 Payment will be transferred to the supplier within 14 days of the transaction.
1.4 If any issues arise regarding problems with delivery of the goods then TransX reserve the right to withhold payment to the supplier for longer than 14 days, until the matter is resolved or TransX is satisfied that the supplier has shown indisputable proof of delivery.
1.5 By registering to use the TransX service, you are confirming that you are going to act in good faith as a supplier, not seeking to deceive or defraud consumers, and that you are selling goods, services or content (hereafter referred to as “goods”) to consumers. Further more, as an explicit condition of holding a TransX account, you undertake to ensure that the goods you sell are legal and of merchantable quality, and are delivered or made available to the consumer in a prompt, reliable and traceable fashion.
1.6 Providing that TransX believe that you have acted in good faith, if a chargeback claim arises as a result of the card holder maintaining that they did not authorise the sales transaction, TransX will assume from you the responsibility for refunding the cardholder.
1.7 However, in all other circumstances, if a consumer’s purchase transaction is credited to your account and is subject to chargeback you agree that you are responsible for refunding the payment. If a chargeback does occur on a payment made to your account, TransX reserve the right to debit your account balance to pay for it, close or restrict your account. In extraordinary cases TransX may be forced to employ other commercial or legal means to recover any shortfall that arises from the balance in your account being insufficient to repay such a chargeback.
1.8 It is an explicit condition of using your TransX account that you agree not to initiate any chargebacks that may result in TransX incurring financial loss.
2. Order details
2 .1 The releasing of an order shall only commence once the supplier has received confirmation of payment via TransX. This will be in the form of an e-mail, which will be sent to the supplier’s specified e-mail address.
2.2 The goods sent out by the supplier will be those that the consumer has agreed to on the sale. If there is any change to the product, the supplier must make the consumer aware and then await written confirmation that the consumer is still happy for the sale to take place. Only then may the supplier send out the new product.
2 .3 The supplier must keep a record of all sales and correspondence with the consumer for a period of 12 months after the last transaction.
3. Delivery
3.1 The supplier is responsible for making sure that the product being shipped conforms to any specific district/county/national law and that the item does not contravene any postage regulations.
3.2 The supplier must ensure that the goods are packaged sufficiently to protect them during transport. If the item is fragile, extra steps should be taken to ensure its safe arrival.
3.3 TransX holds no responsibility for the safe passage of any goods. The protection or insurance of the goods whilst in transit is the responsibility of the supplier and the consumer.
3.4 TransX holds no responsibility for the quality of service provided by companies using a TransX account. Any problems regarding the quality of service are the concern of the supplier and the consumer.
4. Supplier requirements
4.1 A website with full marketing, contact information and terms and conditions of trade. This should include a clear refund policy and what the consumer should expect as a service from the Supplier.
4.1.0 A bank account in to which TransX can pay monies owed to you after a sale.
4.1.1 You must agree to the TransX terms and conditions of trade.
4.1.2 To have successfully complete a test transaction with the Suppliers website.
5. Chargebacks and Disputed Transactions
In the event of a Chargeback arising from any Transaction, TransX shall be immediately entitled to recover said Chargeback from the supplier.
5.1 Any other costs and expenses that TransX may incur as a result of or in connection with a Chargeback or Disputed Transaction, which is proved to be the fault of the Supplier, shall be chargeable to the supplier.
5.2 The Card Issuer’s decision shall be conclusive as to the determination of any Chargeback. Where possible, notice of a Chargeback to the Merchant will be accompanied by an explanation of the reason for it. Where the supplier is notified of any invalid or Disputed Transactions they will notify TransX of it by email, fax or letter accompanied by an explanation of the reason for it. The Company will flag the Transaction as disputed and debit it back to the Merchant. The Transaction shall be credited back to the Company if no longer disputed.
5.3 The supplier must:
5.3.2 Take all reasonable steps to resolve disputes with Cardholders in a timely manner; and
5.3.3 Follow any procedures for handling Disputed Transactions and Chargebacks which TransX advises.
TransX has the right in respect of any Transaction to suspend the processing of said Transaction and/or withhold the amount of the Transaction until the satisfactory completion of any investigation.
In the event of a disputed Chargeback, TransX will not recover any monies/expenses so long as the supplier has followed the correct procedures and TransX is satisfied that:
5.4 There is acceptable proof of delivery and receipt by the Consumer of the goods or services that the supplier has provided;
5.5.3 That such goods or services were delivered in a timely fashion; and
5.5.4 That such goods or services were of satisfactory quality, fit for purpose, as described and otherwise in accordance with all laws and regulations.
6. Limitation of Liability
6.1 Except in the case of death or personal injury resulting from its negligence, TransX’ cumulative liability for any loss or damage arising with respect to any given transaction shall be limited to the value of that transaction less the applicable processing fees payable in respect of that Transaction.
6.2 In no circumstances whatsoever shall TransX be liable, in contract, tort (including negligence), or otherwise for:
- Losses concerned with the particular circumstances of the consumer;
- Indirect or consequential losses;
- Recall costs and business disruption or interruption costs;
- Cost incurred in connection with the removal, disposal or storage of defective goods;
- Damage to goodwill or reputation;
- Loss of profits or contribution;
- Wasted expenditure;
- Damage to property.
